Terms of Business

This Business Terms Agreement (the “Agreement”) is entered into by and between:

LinkoHub Agency, a digital marketing and SEO services company, with operations in Dubai and Pakistan, herein referred to as the “Agency” or “Supplier”, The individual or business entity engaging in services through a Statement of Work (SOW), Proposal, or Service Agreement with LinkoHub Agency, herein referred to as the “Client” or “Customer”.

1. Purpose and Scope

This Agreement sets forth the terms and conditions under which LinkoHub Agency provides professional digital services to the Client, including but not limited to:

  • Search Engine Optimization (SEO)
  • Digital Marketing Strategy
  • Content Development
  • Link Building
  • Analytics & Reporting
  • Technical Audits
  • Website Optimization

Each engagement will be defined in a separate Statement of Work (SOW), specifying timelines, deliverables, and pricing.

2. Term and Termination

This Agreement is effective from the date of the last signature and remains valid for twelve (12) months unless terminated earlier.

Termination Terms:

  • Either party may terminate this Agreement with 30 days’ written notice.
  • Immediate termination is permitted if:
    • Payment is overdue by 30 days.
    • A material breach is not resolved within 14 days.
    • Either party enters insolvency or ceases business operations.

Upon termination, the Client must settle all outstanding dues within 30 days.

3. Services to Be Provided

The services to be provided under this Agreement include (but are not limited to):

  • Technical SEO Audits
  • On-page & Off-page Optimization
  • Keyword Strategy
  • Competitor Analysis
  • Custom Content Creation
  • Outreach & Link Acquisition
  • Web Performance Improvements
  • Analytics Implementation

All deliverables and timelines will be outlined in the SOW. Changes are governed by Section 9 (Change Control).

4. Payment Terms

  • Payments will be based on the terms listed in the SOW or in Schedule 2.
  • Invoices are sent monthly unless otherwise specified.
  • Payments are due within 14 days of invoice date.
  • Accepted methods include: Bank Transfer, Direct Debit, and other pre-approved methods.

Late Payments:

  • A 4% annual interest (above the Bank of England base rate) may apply to overdue invoices.
  • LinkoHub Agency may suspend services if payment is delayed.

All pricing is exclusive of VAT unless specified otherwise.

5. Client Responsibilities

The Client agrees to:

  • Provide timely access to necessary tools, assets, and accounts.
  • Respond promptly to reviews, feedback, and approvals.
  • Supply accurate, legally owned materials.
  • Follow all applicable advertising, data protection, and industry laws.

Failure to cooperate may delay results and does not warrant refunds or extensions.

6. Performance & Quality Assurance

LinkoHub Agency commits to professional standards of service delivery using reasonable skill and care.

  • Clients must report any material issues within 5 business days.
  • If the issue is within our control, we will correct it at no extra cost.
  • Project timelines are indicative unless explicitly guaranteed.

7. Intellectual Property Rights

  • All intellectual property (e.g., content, reports, custom tools) remains the property of LinkoHub Agency until full payment is received.
  • Upon payment, the Client receives a non-exclusive, non-transferable license for use.
  • Proprietary tools or frameworks remain the sole property of the Agency.

8. Confidentiality

Both parties agree to maintain confidentiality of all proprietary, technical, and financial information. Disclosure to third parties is prohibited without written consent unless required by law.

This clause remains valid for 2 years post-contract termination.

9. Change Control

  • Any changes to the original scope must be requested in writing.
  • LinkoHub Agency will respond within 10 business days with a revised proposal detailing impact, cost, and timeline.
  • No work will begin until changes are mutually approved in writing.

10. Limitation of Liability

Unless in cases of gross negligence, fraud, or personal injury, LinkoHub Agency’s liability is limited to the total amount paid by the Client in the last three (3) months.

We are not liable for:

  • Loss of profits
  • Business interruptions
  • Data corruption or loss
  • Indirect or consequential damages
  1. Force Majeure

Neither party shall be held liable for delays or failure caused by factors outside their control, such as:

  • Natural disasters
  • War or terrorism
  • Pandemics or public health emergencies
  • Internet outages
  • Government restrictions

If such conditions persist for 90 days, either party may terminate the Agreement with written notice.

12. Non-Solicitation

The Client agrees not to solicit or hire any current or recent (within 12 months) employee, contractor, or affiliate of LinkoHub Agency involved in the project.

13. Competitive Clause

LinkoHub Agency agrees not to provide similar services to direct competitors of the Client within the same niche and geographic market during the contract period, without the Client’s written approval.

14. Dispute Resolution

In case of disputes:

  1. Parties will attempt resolution via negotiation within 14 days.
  2. If unresolved, mediation will be considered.
  3. Legal action may follow, under the jurisdiction of the courts of England and Wales.

15. General Terms

  • Entire Agreement: This document constitutes the full agreement between both parties.
  • No Partnership: Nothing in this Agreement forms a legal partnership or employment.
  • Assignment: Neither party may assign this contract without written consent.
  • Severability: If any clause is invalid, the rest remains enforceable.
  • Notices: Notices must be in writing and sent via email, post, or hand delivery. Email notices are deemed received on the next working day.
  • Survival: Clauses regarding payments, confidentiality, IP rights, and limitation of liability survive contract termination.

Schedule 1 – Service Description

A custom SOW detailing services, timelines, and KPIs will be provided and agreed upon for each project.

Schedule 2 – Payment Terms

This will include:

  • Monthly, hourly, or project-based pricing
  • Accepted payment methods
  • VAT and tax information (if applicable)

Signatures

By engaging LinkoHub Agency, both parties accept and agree to these terms as of the date of the first signed Statement of Work or Proposal.
